We provide our products to you subject to the following notices, terms and conditions. In addition, when you purchase any Leader NZ product, you will be subject to the rules, guidelines, policies, terms and conditions applicable to such service.
- In these Terms and Conditions, unless the context otherwise requires, the following expressions have the following meanings:
- Company means Valley Star Ltd t/a Leader NZ. For purposes of this site Valley Star Ltd and Leader NZ mean one in the same.
- Products mean the products being purchased by the Buyer from Leader NZ.
- Contract means the contract between Leader NZ for the sale of Leader NZ products to the Buyer.
- Price means the price for the Products and includes GST.
- Site means Leader NZ website.
- "Nominated Payment Authority" means Visa, Mastercard or personal cheque issued against a New Zealand registered bank.
2. Introduction to the Site and Consent
- This Site is owned and operated by Valley Star Ltd t/a Leader NZ. By using this Site, you agree to these Terms and Conditions. If you disagree with any of these terms and conditions, you should not access or use this Site.
- We shall sell and you shall purchase the Products from this Site in accordance with these Terms and Conditions only. You acknowledge that you are aware of the contents of these Terms and Conditions.
- By submitting a form with your information to us, you will be consenting to us sending you marketing communications by email, post or telephone. We will give you the opportunity to opt out of receiving such communications from us, however, if you choose not to receive communications from us then this will preclude you from receiving any of our special offers or promotions in future.
3. Orders, Quotation and Price
- You must order the Products in accordance with the instructions on this Site.
- The price for the Products shall be the price quoted on our Site at the time of making your order, and the costs associated with additional services and delivering the Products to you.
- Except where specifically stated, our prices do include all import fees, duties, tariffs or other charges associated with importing the Products.
- Except where specifically stated, our prices do not include export fees, duties, tariffs or other charges associated with exporting the Products.
- If you elect to pay by cheque, your order will not be processed and the Products will not be dispatched until such time as your cheque has cleared.
- We may revise Prices at any time without notice.
- The Buyer may request a Quotation from Leader NZ setting out the price and quantity of the Goods to be supplied. If the Quotation is accepted by the Buyer, the Buyer may place an order within an acceptable timeframe.
- Subject to any provision to the contrary in the Contract, payment (being cash unless otherwise arranged in advance and confirmed in writing by Leader NZ) shall be received on or before the 20th of the month following the date of the Company’s invoice to the Buyer, which shall be issued promptly on or after delivery of the goods.
- All accounts paid in full by the due date will attract Leader Loyalty Points (LLP’s) as per the LLP program.
- All payments for the Products are payable in New Zealand dollars.
- In the event that the Buyer does not have an account facility with Valley Star Ltd, or if the Buyer is purchasing from the Site through the Retail section, the Buyer must pay us for the purchase of the Products in full by authorising us to charge your Nominated Payment Authority to the date on which we dispatch the Products to you from our warehouse. Some Nominated Payment Authorities may require us to debit your Payment Authority before the goods are ordered – this will be explicitly stated before you place the order. Products will only be dispatched on receipt of full payment.
5. Late Payment, Default of Payment and Consequences of Default of Payment
- Late payment shall incur automatic loss of ‘Leader Loyalty Points’ (LLP’s).
- If at any time the Buyer is in breach of any obligation (including those relating to payment), the Company may suspend or terminate the supply of Goods to the Buyer and any of its other obligations under the terms and conditions. The Company will not be liable to the Buyer for any loss or damage the Buyer suffers because the Company exercised its rights under this clause.
- In the event that:
- any money payable to the Company becomes overdue, or in the Company’s opinion the Buyer will be unable to meet its payments as they fall due; or
- the Buyer becomes insolvent, convenes a meeting with its creditors or proposes or enters into an arrangement with creditors, or makes an assignment for the benefit of its creditors; or
- a receiver, manager, liquidator (provisional or otherwise) or similar person is appointed in respect of the Buyer or any asset of the Buyer;
then without prejudice to the Company’s other remedies at law the Company shall be entitled to cancel all or any part of any order of the Buyer that remains unperformed in addition to, and without prejudice to any other remedies; and all amounts owing to the Company shall, whether or not due for payment, immediately become payable.
6. The Products
- We may revise and / or discontinue Products at any time without notice.
7. Leader NZ Gift Vouchers
- Leader NZ Gift Vouchers are non-returnable and cannot be exchanged for cash.
- Leader NZ Gift Vouchers will only be issued and posted / emailed on receipt of full payment for them. Payment for vouchers must be made by authorising us to charge your Nominated Payment Authority.
- Leader NZ Gift Vouchers may not be ‘put on account’.
8. Title and Risk
- Orders are not binding upon Leader NZ until accepted by Leader NZ. Should Leader NZ not accept the order then all monies will be refunded to you.
- We remain the owners of the Products we supply to you until you have paid in full all amounts that you owe to us for all the Products.
- Products are at your risk as soon as they have been delivered to you.
9. Freight & Delivery
- We will freight the Products to you by whatever method and route we consider to be the most expedient. When a parcel is freighted using a tracking service a signature will be required on receipt of delivery.
- All orders over $160 + gst NZD ordered online will be freighted freight free in New Zealand.
- All orders sent out are Tracked and Traced
- If we have specified a delivery date, we will try and deliver the Products to you by that date. However,
- We will be entitled to deliver the Products to you after the stated delivery date or cancel the contract without being liable to you in any way if the delay in delivery is in respect of causes outside our control or we are unable to deliver the Products to you;
- In the event that Products may be out of stock or that we are unable to supply you with the product for reasons outside of our control we will make contact with you.
10. Return of Products
- Leader NZ is not liable to cover costs of returned goods where the items are simply unwanted or no longer required.
- All Products returned must be in their original condition and packaging, along with any accompanying accessories together with the invoice and packing slip accompanying the Products. If you are returning an order which has qualified for a gift with purchase, the entire order, including any complimentary gifts will need to be returned
- We would recommend that you return your items via recorded delivery and/or obtain a proof of postage for your records in case the items should the item(s) become lost. - You must also provide us with the following information:
- The reason for the return of the Product which must be one of the following: the Product received is not that which you ordered or the Products are faulty or damaged.
- In the case of faulty or damaged Products only, the method of type of refund you require, which must be either one of the following:
- Full refund (in which case you must provide us with your credit card details)
- Replacement Products; or
- We will provide you with a Leader NZ gift voucher (equal to the value of the products returned).

11. Warranty & Guarantees
- The Company warrants that it will repair or make good any defects in the goods, if written notice of the claim is received by the Company within thirty (30) days from the date the goods were delivered. No claim shall be accepted under such warranty if any attempt to repair the defective goods is made by any person not authorised by the Company, or if the defective goods have been modified or incorrectly stored, maintained or used.
- If the Company elects to repair or replace any defective goods, such work shall be undertaken at such place as the Company may reasonably specify and the Buyer shall be responsible at its cost and risk for shipment of the defective goods to the place specified. - Subject to the specific terms of these Terms and Conditions we guarantee:
- The safety of your Credit Card;
- That every transaction you make with Leader NZ will be 100% safe;
- Your privacy in respect of any transactions that you enter into with Leader NZ.
- Everything that we sell to you is guaranteed on the following terms:
- Where the Consumer Guarantees Act 1993 applies to this contract:
- If the Products are acquired by you for business purposes, you agree that the Consumer Guarantees act 1993 does not apply; and
- If the Products are not acquired by you for business purposes, we reserve the right to repair or replace any Products which fail to comply with any guarantee contained in the Consumer Guarantees Act 1993.
- Where you supply the Products in trade to a person acquiring them for business purposes, it must be a term of your contract with that person that the Consumer Guarantees Act 1993 does not apply in respect of the Products.
- You acknowledge that we do not provide any Express Guarantees (as defined in the Consumer Guarantees Act 1993) other than those expressly confirmed by us in writing.
- Nothing in these Terms and Conditions are intended to have the effect of contracting out of the provisions of the Consumer Guarantees Act 1993 except to the extent permitted by that Act, and these Terms and Conditions are to be modified to the extent necessary to give effect to that intention.
- We shall not be liable to you for any damage to the Products due to external causes, including accident, abuse, misuse, problems with electrical power, usage not in accordance with Product instructions, failure to perform required preventive maintenance, and problems caused by use of supplied parts and components not supplied by us.
- Notwithstanding anything else contained in these Terms and Conditions, we shall not be liable to you for loss of profits or contracts or any indirect or consequential loss arising from negligence, breach of contract or howsoever.
- The material and information provided in this Site is supplied upon the condition that you will make your own determination as to its suitability for your purposes prior to use. We will not be liable for any damages, losses or liabilities, including but not limited to, any failure of performance, error, omission, interruption, defect, delay in operation of transmission, computer virus, or line failure. We will not be liable for any damages, loss or injury, including, but not limited to special or consequential damages that result from the use of or the inability to use, the materials in this Site.
- Nothing in this Site is to be construed as a recommendation to use any Product.
12. Restrictions on Use
- Material from this Site and other Sites owned, operated, licensed or controlled by us or any of our related, affiliated, or subsidiary companies may not be copied, reproduced, distributed, modified, published, uploaded, posted, or transmitted in any way, without our prior written consent.
- Modification, distribution, or use of the material contained in our Site for any purposes other than for your personal use directly violates our intellectual property rights. The material contained within this site is copyrighted and protected by world-wide copyright laws and treaty provisions, and is provided for lawful purposes only.

We make no representation that the materials in this Site are appropriate or available for use in other locations, and access to them from territories where their contents are illegal is prohibited.
- If you choose to access this Site from other locations you do so at your own initiative and are responsible for compliance with applicable local laws.
- You may not use or export the materials in this Site in violation of New Zealand laws and regulations.
- You acknowledge that Products licensed or sold hereunder are subject to the export control laws and regulations of New Zealand.
- Nothing in these Terms and Conditions shall affect the statutory rights of you dealing with us as a consumer under the Consumer Guarantees Act.
- If any provision of these Terms and Conditions are held by any competent authority to be invalid or unenforceable in whole or in party, the validity of the other provisions of these Terms and Conditions and the remainder of the provisions in question shall not be affected thereby.
- The headings to the clauses of these Terms and Conditions are for ease of reference only and shall not affect the interpretation or construction of these Terms and Conditions.
- This Agreement shall be governed by and construed in accordance with the laws of New Zealand and shall be subject to the non-exclusive jurisdiction of the New Zealand Courts.
